Agreements that explain the work clearly
A useful contract makes the obligations, payment arrangements and responsibilities clear to the people who will actually use it. We prepare and review agreements for individuals and businesses, taking account of the transaction and how the parties intend to work together.
The work can involve service and supply agreements, leases, loans, business cooperation and other commercial arrangements. We can draft a new document, review a version proposed by the other party or help negotiate particular terms.
Reviewing a contract before you sign
A review can address the scope of the work, delivery and acceptance, payment dates, liability, confidentiality, intellectual property and termination. We also look for inconsistencies between the main agreement and its schedules or attachments.
For international matters, the language of the documents, the parties’ locations and the arrangements for resolving a dispute need attention. We identify the Georgian-law work involved and discuss any questions that require advice in another country.
Performance, payment and termination disputes
When a problem arises, we begin with the agreement and the record of what each party has done. Emails, invoices, delivery documents and notices can be as important as the signed contract in understanding the disagreement.
We can assist with a demand or response, a proposed amendment, negotiations, a settlement or proceedings. If a party is considering termination, we can review the relevant documents and help prepare the correspondence needed for the proposed course of action.
What to prepare for a consultation
- The contract, including schedules and later amendments
- A description of the transaction or the work agreed
- Relevant invoices, notices and correspondence
- The terms you want reviewed and any signing or response date
Send the existing agreement or describe the arrangement you need to document. We will confirm the drafting or review work, the available timing and the fees before starting.
